Collective Bargaining Agreement — Renewal Draft

§14.1 · Continuing Obligations

The terms of this Agreement shall remain in full force and effect during any period of negotiation for a successor agreement, unless and until either party gives the other party at least sixty (60) days' written notice of intent to terminate.

§14.2 · Mid-term Modifications

No provision of this Agreement may be modified during its term except by mutual written agreement signed by authorized representatives of both parties. Any side letters or memoranda of understanding entered into during the term of this Agreement shall be appended hereto and shall be considered part of this Agreement for all purposes including grievance and arbitration.

§14.3 · Successor and Assigns

(a) Either party may assign its rights or delegate its duties under this Agreement, in whole or in part, to any successor entity arising from a merger, acquisition, or sale of substantially all of its assets, without the consent of the other party, provided that such successor expressly assumes all obligations hereunder.

(b) For all other assignments, the prior written consent of the non-assigning party shall be required, which consent shall not be unreasonably withheld, conditioned, or delayed.

(c) Any purported assignment in violation of this Section shall be null and void. The successor entity shall be jointly and severally liable with the assigning party for all obligations arising prior to the effective date of the assignment, unless expressly released in writing by the non-assigning party.

§14.4 · Notice of Corporate Change

The Employer shall provide the Union with no less than thirty (30) days' written notice of any anticipated corporate change that would trigger the provisions of §14.3, including but not limited to mergers, acquisitions, divestitures, or substantial asset sales, except where such notice is prohibited by applicable securities law or confidentiality obligations to a counterparty.
